Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you and The Parkfield Collective. By using our website, you agree to these Terms.

Definitions

  • Services: All professional services we provide
  • Website: www.parkfieldcollective.com
  • Client Agreement: Any formal agreement like MSA or SOW
  • Content: All material on the website
  • User Content: Content you provide to us


Use of Website

Permitted: Learn, contact, download materials, access chatbot.

Prohibited: Hacking, bot scraping, IP infringement, impersonation, malware, etc.



Intellectual Property

All Content belongs to Parkfield unless otherwise stated. You receive a limited, revocable license for personal, non-commercial use only.



Client Work

Ownership of deliverables is governed by Client Agreements. Parkfield retains tools and prebuilt components unless specified otherwise.



Professional Services

Governed by MSA/SOW. No guarantees for results. Client responsibilities impact outcome.



Third-Party Services and Links

We are not liable for third-party websites or tools, including chatbot services powered by external providers.



Disclaimer of Warranties

All services and content are provided "as is." We disclaim all express and implied warranties to the fullest extent allowed by law.



Limitation of Liability

We are not liable for indirect or consequential damages. Liability is capped at €100 or the amount paid in the last 12 months (for clients).



Indemnification

You agree to indemnify Parkfield against claims resulting from misuse, law violations, or unauthorized use of our platform or chatbot.



Privacy and Data Protection

Use of the website is subject to our Privacy Policy. You agree to our data handling practices by using the website.



User Content and Communications

You grant us rights to use content you submit. You consent to receive communications from us, with the option to opt out of marketing.



Governing Law and Dispute Resolution

Irish law governs. Disputes must first be resolved informally, followed by arbitration (if allowed), or courts of Ireland if needed.



Class Action Waiver

Disputes must be individual. No class actions are permitted.



Termination

We may suspend or terminate access at any time. Upon termination, your licenses end, and we may delete your data.



Modifications to Terms

We may update terms at any time. Continued use of the website means you accept the updates.



Severability

If a term is unenforceable, the remainder still applies.



Waiver

Failure to enforce a right does not waive it. Waivers must be in writing.



Assignment

You may not assign rights without consent. We may assign freely.



Entire Agreement

This and related policies form the full agreement between you and Parkfield.



Force Majeure

We’re not liable for performance failures due to events beyond our control (e.g., disasters, cyberattacks, or war).



Language

English version prevails. Translations are for convenience only.

The Parkfield Collective is the commercial consulting arm of Vellum Technologies Ltd - Teicneolaíochtaí Vellum Teoranta. Parkfield operates as a referral and technology partner in a capacity similar to an Independent Sales Organization (ISO) on behalf of licensed acquiring banks and payment institutions, but does not act as a bank, hold client funds, or engage in regulated payment activities. Parkfield maintains compliance with applicable data security and financial standards, including PCI DSS and PSD2 requirements. All regulated services are provided exclusively by licensed financial institutions authorized in their respective jurisdictions in the United States, Canada, the United Kingdom, and the European Union.
